Terms of Engagement

Clear, transparent expectations between your team and NimbTrix. We focus on direct problem resolution, complete client ownership of code, and zero vendor lock-in.

100% Code Ownership

You own all custom source code, schemas, and assets upon completion.

Fix Before Rebuild

We only recommend a rewrite if targeted refactoring cannot succeed.

Post-Launch Warranty

Every deployment includes a dedicated stabilization period.

01. Engagement Model & Problem Intake

Submitting a challenge through our website intake or email creates no financial obligation. Our team reviews the issue, asks clarifying technical questions if needed, and provides an actionable assessment and estimated scope. An engagement commences only after both parties mutually agree upon deliverables, pricing, and milestones via a written Statement of Work (SOW).

02. The “Fix Before Rebuild” Principle

NimbTrix is built on practical engineering efficiency. We will never recommend rebuilding a system, dashboard, or automation that can be reliably stabilized, refactored, or optimized in place. Our goal is the shortest, cleanest path to resolution with the lowest technical debt for your team.

03. Intellectual Property & Code Ownership

Upon receipt of agreed payment for services rendered, 100% of all intellectual property, custom source code, database architectures, API integrations, and documentation produced by NimbTrix for your engagement belong exclusively to you.

  • We do not retain proprietary licensing rights or vendor lock-in mechanisms.
  • You receive full repository commit access, deployment recipes, and environment configurations.
  • Open-source libraries (e.g., React, Next.js, FastAPI, Docker) remain subject to their respective permissive licenses (MIT, Apache 2.0).

04. Confidentiality & Non-Disclosure

Both parties agree that all proprietary business logic, product roadmaps, source code, server credentials, and customer databases shared during an engagement will be maintained in strict confidence. We are pleased to execute mutual standard NDAs prior to accessing private client production environments.

05. Milestone Delivery & Transparent Billing

We eliminate unexpected hourly surprises. Standard engagements are structured with clearly defined milestone deliverables or upfront fixed-scope budgets. In the event an unexpected architectural defect or third-party API limitation is uncovered during diagnosis, we notify you immediately with updated options before incurring additional work.

06. Post-Deployment Stabilization & Warranty

We stand behind our engineering. All deployed solutions include a standard 14-to-30 day stabilization warranty (as specified in your SOW). If any bug or defect directly related to the delivered work manifests in production during this period, we remediate it promptly at no additional cost.

07. Client Responsibilities

Timely problem resolution requires collaborative access. The client agrees to provide reasonable access to relevant repositories, staging environments, API documentation, and feedback required to verify fixes.

08. Contact & Governance

These terms are governed by standard commercial law. For inquiries or custom enterprise master service agreements (MSAs), please contact our engineering directors at legal@nimbtrix.com.
